Acceptance of Terms
By accessing or using the WQ Tech Solutions website, submitting an enquiry, requesting a quotation or engaging us to provide services, you agree to these Terms & Conditions to the extent they apply to that interaction.
If you enter into a separate written agreement, signed proposal, quotation or statement of work with WQ Tech Solutions, the specific terms in that document will take priority where they differ from these general terms.
Our Services
WQ Tech Solutions provides digital and technology services which may include website development, web application development, mobile applications, ecommerce solutions, custom software, UI and UX design, graphic design, brand identity, SEO, GEO, digital marketing, content services, integrations, automation, maintenance and related consulting or support.
The exact technologies, platforms, deliverables and responsibilities for a project depend on the agreed scope.
Listing a technology, platform or service capability on our website does not mean that every technology will be used in every project. The approach is chosen according to the actual requirement.
Project Scope and Proposals
Before work begins, we may prepare a proposal, quotation, scope, statement of work or similar document describing the project requirements, deliverables, assumptions, stages, responsibilities, pricing and estimated timeline.
A project is considered based on the agreed scope. Features, pages, integrations, design work, content, revisions or other requirements not included in the agreed scope may be treated as additional work.
We may recommend changes to a requested approach where we believe another technical or practical solution would better support the project.
Pricing and Quotations
Prices shown in a quotation or proposal are based on the information available at the time the quotation is prepared.
If the scope, requirements, dependencies or assumptions change, pricing may also need to be revised.
Unless stated otherwise, third party charges such as domain registration, hosting, paid plugins, software subscriptions, advertising spend, payment gateway fees, SMS costs, external API charges or other vendor costs are not included in our service fee.
Any applicable taxes, duties or transaction charges may be added where required.
Payments and Milestones
Payment terms are defined in the relevant proposal, quotation or project agreement.
Projects may use milestone-based payments aligned with agreed stages such as project initiation, design approval, development progress, testing or launch.
Work on a new stage may be paused until a required milestone payment or agreed approval has been received.
Where invoices become overdue, WQ Tech Solutions may pause work, support or delivery until the outstanding amount is resolved.
Client Responsibilities
Successful delivery depends on timely cooperation from both sides. Where relevant, the client is responsible for:
- Providing accurate project requirements and business information.
- Providing required content, images, brand files, credentials and access.
- Reviewing work and providing clear feedback within reasonable timeframes.
- Confirming important project decisions and approvals.
- Ensuring that supplied materials can legally be used.
- Maintaining access to required third party accounts and services where those accounts belong to the client.
- Paying agreed invoices according to the payment schedule.
Changes, Revisions and Additional Work
Reasonable revisions may be included where specified in the agreed scope.
Requests that materially change an approved design, feature, workflow, integration, content structure or technical requirement may be treated as a scope change.
Additional work may require a revised quotation, additional milestone, updated delivery date or separate written approval before work continues.
Timelines, Delays and Dependencies
Project timelines are estimates based on the agreed scope, expected feedback cycle, resource availability and dependencies known at the time.
Delays may occur if required information, content, approvals, payments, access or third party services are not available when needed.
Timelines may also change where additional work is approved or where circumstances outside our reasonable control affect delivery.
Third Party Services and Platforms
Projects may depend on third party products or services such as hosting providers, CMS platforms, APIs, payment gateways, advertising platforms, email services, plugins, app stores or other software providers.
Those services are governed by their own terms, availability, pricing and technical limitations.
WQ Tech Solutions is not responsible for outages, policy changes, price changes, account suspension, discontinued features or other actions controlled by third party providers.
Intellectual Property
Ownership of final project deliverables is determined by the relevant proposal, quotation or agreement.
Unless otherwise agreed, ownership of custom final deliverables intended for the client may transfer after full payment of all amounts due for those deliverables.
WQ Tech Solutions retains ownership of its pre-existing materials, reusable methods, internal processes, know-how, templates, libraries, development utilities and other intellectual property that was not created exclusively for the client.
Third party software, open-source components, stock assets, fonts, plugins and licensed materials remain subject to their respective licences.
Client Content and Materials
The client remains responsible for content, images, logos, trademarks, data, product information and other materials supplied to WQ Tech Solutions.
By providing materials for a project, the client confirms that they have the necessary rights or permissions for those materials to be used as part of the project.
We may rely on information supplied by the client and are not responsible for inaccuracies, copyright issues or legal claims resulting from materials supplied without appropriate permission.
Confidentiality
Each party should take reasonable care to protect confidential business, technical and project information received from the other party.
Confidential information should not be disclosed to unrelated third parties except where required to deliver the project, obtain professional advice, comply with law or where disclosure has been authorised.
Separate confidentiality or non-disclosure agreements may be used where a project requires more detailed confidentiality terms.
Testing, Approval and Launch
Before final launch or delivery, WQ Tech Solutions may perform reasonable testing based on the project scope.
The client may also be asked to review important functionality, content, designs or deliverables and provide final approval.
Client approval confirms that the reviewed deliverable is accepted in its current state, subject to any agreed post-launch support or warranty arrangement.
After deployment, final live checks may be performed where appropriate.
Support, Maintenance and Updates
Post-launch support or ongoing maintenance is provided only where included in the project scope or covered by a separate maintenance or support arrangement.
Ongoing updates may be required because of changes to browsers, devices, operating systems, CMS platforms, plugins, APIs, third party services or security requirements.
Work required after the agreed support period may be quoted separately.
Cancellation and Termination
Cancellation and termination rights may be defined in the applicable proposal or agreement.
If a project is cancelled after work has started, amounts already paid may be applied against work completed, reserved resources, third party costs and other commitments made for the project.
Any remaining balance for completed or approved work may still be payable.
Refund eligibility, if any, depends on the project circumstances, work completed and the terms agreed for that engagement.
